These Terms of Service ("Terms") govern your access to and use of the DacareGH website and services (the "Service"), operated by DacareGH ("DacareGH", "we", "us", "our"), a nonprofit initiative based in Accra, Ghana.
By accessing or using the Service, or by making a donation, you agree to these Terms. If you do not agree, do not use the Service.
1. Who we are
DacareGH is a Ghanaian nonprofit initiative honouring the memory of Derrick Antwi. Contributions received through the Service fund charitable programmes selected by DacareGH in its sole discretion.
2. Eligibility
You must be at least 18 years old, or the legal age of majority in your jurisdiction, and legally able to enter into a binding contract. By using the Service you represent that you meet these requirements and that any information you provide is true, accurate, and complete.
3. Donations
- Voluntary and non refundable. Donations are voluntary gifts to a Ghanaian nonprofit initiative. All donations are final and non refundable, except where required by applicable law, or where a donation was made by mistake, fraud, or unauthorised card use and is reported to us in writing within 30 days of the transaction.
- No goods or services in exchange. Unless a specific campaign expressly says otherwise, you receive nothing of tangible value in exchange for a donation.
- Allocation and application of funds. Where you designate a specific cause, we will apply your donation to that cause. If a cause is fully funded, cancelled, or otherwise cannot be carried out, we reserve the right to apply your donation to another cause consistent with our mission. This is standard nonprofit practice and does not entitle you to a refund.
- Currency and payment processing. Donations are stated in the currency shown at checkout. Payments are processed by Paystack. By donating, you agree to Paystack's terms and confirm that you are authorised to use the payment method.
- Receipts. Receipts issued through the Service are for donor reference. Their treatment for tax purposes depends on your jurisdiction and personal circumstances. We make no representation that a donation is tax deductible for you. Consult your tax adviser.
- Recurring donations. If you set up a recurring donation, you authorise us and our payment processor to charge your payment method on the schedule you selected until you cancel. You may cancel at any time from your donor page or by contacting us.
4. Acceptable use
You agree not to:
- Use the Service in violation of any law of Ghana or any other applicable law.
- Provide false, misleading, or stolen payment information.
- Impersonate any person, or misrepresent your affiliation with any person or organisation.
- Attempt to gain unauthorised access to any part of the Service, any account, or any system.
- Probe, scan, or test the vulnerability of the Service, or breach any security or authentication measure, except under a written invitation from us.
- Upload content that is unlawful, defamatory, obscene, harassing, hateful, infringing, or that contains malware.
- Use the donor wall, tributes, or any other user facing feature to advertise, solicit, or promote unrelated causes.
- Interfere with the operation of the Service, or with any other user's use of it.
- Scrape, harvest, or systematically extract data from the Service without our prior written consent.
We may remove any content and suspend or terminate any account that violates these Terms, at any time and without notice.
5. User content
If you submit content to the Service (for example a donor wall message, a tribute, a photo, a comment, or a volunteer application), you grant DacareGH a worldwide, royalty free, non exclusive, sublicensable licence to host, store, reproduce, display, and use that content for the purpose of operating the Service and promoting our mission. You represent that you own the content or have all rights necessary to grant this licence, and that the content does not infringe or violate any third party rights or any law.
You are solely responsible for the content you submit. We may review, edit, or remove content at our sole discretion, but we are under no obligation to do so.
6. Intellectual property
The Service, including its design, text, graphics, logos, code, and organisation, is owned by DacareGH or its licensors and is protected by intellectual property laws. You are granted a limited, revocable, non transferable, non exclusive licence to access and use the Service for its intended purpose. All other rights are reserved.
The name "DacareGH", the associated logos, and the branding around the memory of Derrick Antwi may not be used without our prior written permission.
7. Third party services
The Service integrates third party services, including Paystack for payments, and providers for email, SMS, hosting, and analytics. Your use of those services is governed by their own terms and privacy notices. We are not responsible for third party services and disclaim all liability arising from them, to the maximum extent permitted by law.
8. Disclaimers
The Service is provided "as is" and "as available", without warranty of any kind, whether express, implied, statutory, or otherwise, to the maximum extent permitted by law. DacareGH does not warrant that the Service will be uninterrupted, timely, secure, or error free, that defects will be corrected, or that the Service or its servers are free of viruses or other harmful components. Any material downloaded or otherwise obtained through the Service is accessed at your own risk.
Information on the Service, including information about causes, beneficiaries, budgets, and impact, is provided in good faith. We make no representation or warranty that any information is complete, accurate, current, or fit for any particular purpose.
Nothing on the Service constitutes legal, financial, tax, medical, or other professional advice.
9. Limitation of liability
To the maximum extent permitted by law, DacareGH, its trustees, officers, employees, volunteers, agents, and contractors shall not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or opportunity, arising out of or in connection with these Terms or your use of the Service, whether based on contract, tort (including negligence), statute, or any other legal theory, and whether or not we were advised of the possibility of such damages.
In no event shall the aggregate liability of DacareGH and the persons named above, arising out of or in connection with these Terms or the Service, exceed the greater of (a) the amount you donated through the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred Ghana Cedis (GHS 100).
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.
10. Indemnity
You agree to defend, indemnify, and hold harmless DacareGH and its trustees, officers, employees, volunteers, agents, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or in connection with (a) your use of or access to the Service, (b) your violation of these Terms, (c) your violation of any third party right, including any intellectual property or privacy right, or (d) any content you submit.
11. Suspension and termination
We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive, including sections on donations already made, user content, intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution.
12. Changes to the Service and these Terms
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also update these Terms from time to time. The "Last updated" date at the top will change. Material changes will be announced on the Service. Continued use of the Service after an update means you accept the revised Terms. If you do not accept the revised Terms, stop using the Service.
13. Governing law and jurisdiction
These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of the Republic of Ghana, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts sitting in Accra, Ghana, for the resolution of any dispute, subject to any right you may have to a statutory forum.
14. Force majeure
DacareGH shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, labour disputes, power or telecommunications failures, or third party service outages.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.
16. No waiver
Our failure to enforce any right or provision of these Terms will not be a waiver of that right or provision. Any waiver must be in writing and signed by us.
17. Entire agreement
These Terms, together with the Privacy Policy and the Cookie Notice, constitute the entire agreement between you and DacareGH regarding the Service and supersede any prior agreements on the same subject.
18. Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, restructuring, or transfer of the initiative to another nonprofit, subject to equivalent protections.
